Ms. Williams has more than 20 years of corporate, securities and merger and acquisition experience. She represents public and private companies with respect to their public offerings, 144A offerings and private placements of debt and equity. She represents a Fortune 100 company in its venture capital investments, as well as other VCs and large investors.
Ms. Williams has domain experience in health care, energy and technology industries. In health care, during the 1990s she represented Foundation Health Corporation in its IPO and follow-on public offerings and in more than 40 acquisitions and divestitures, culminating in its $3 billion merger with HealthNet. Since then she has represented a number of companies in the heath care field in financings and acquisitions.
In energy she has recently represented Headwaters Incorporated, an NYSE-listed company, in its public offerings, corporate governance and acquisitions, as well as other energy companies. In technology she has worked with a variety of telecom, software and semi-conductor companies on financings and acquisitions.
Ms. Williams has developed extensive experience in corporate governance issues, including Sarbanes-Oxley compliance. She has handled numerous transactions involving broker-dealer representation, investment company and investment adviser matters. She also practices in the area of non-profit corporate law, including pro bono representation of charitable organizations in the Bay Area.
Ms. Williams is the manager of more than 50 attorneys in the Corporate, Securities and Financial Institutions practice in San Francisco.
Ms. Williams clerked for Judge Albert Tate, Jr. at the U.S. Fifth Circuit Court of Appeals in New Orleans prior to joining Pillsbury. She has also taught securities regulation at the University of San Francisco School of Law and teaches legal seminars regarding corporate and securities issues.
