Allison Leopold Tilley focuses on the representation of technology companies in securities and venture capital transactions, including general corporate representation, mergers and acquisitions, private placements, public offerings, venture funds and joint ventures. She has significant experience representing entrepreneurs and venture capitalists as well as acquirers and target companies. Ms. Leopold Tilley is on the Managing Board of the Firm.
Ms. Leopold Tilley has represented a wide variety of companies ranging from start-ups and emerging growth companies to Fortune 500 companies, private equity firms, venture capital firms and other clients. Her securities and general corporate representation includes work with a number of public and private companies including: SYNNEX Corporation, Inphi, Ikanos, Barefoot Networks, Accela, Cyphort and UserTesting. Ms. Leopold Tilley's venture fund representation includes work with a number of VC funds, including: Walden International, The Mayfield Fund, Assist Capital, Foundation Capital, NewEra Ventures, and SevenSeas Venture.
Ms. Leopold Tilley has also been involved in numerous merger and acquisition transactions, representing both sellers and purchasers. Representative transactions include: the sale of Memoir to Cisco, the sale of Lulu’s Fashion Lounge, the sale of Nicira to VMware, the sale of Atheros to Qualcomm, the sale of Cloud.com to Citrix, the sale of WebEx to Cisco; the sale of Ankeena to Juniper, the sale of Mission West properties; the acquisition of the IBM worldwide customer care business, the acquisition of Cortina by Inphi, the acquisition of oXya by Hitachi Data Systems; and numerous other mergers.
Ms. Leopold Tilley is a member of the Board of Directors of the Ronald McDonald House at Stanford, a member of the Advisory Board of Women in Law Empowerment Forum and formerly on the Board of Directors of Watermark and the Global Women's Leadership Network. Ms. Leopold Tilley is a frequent speaker at events for the Stanford Graduate School of Business, UC Berkeley Haas School of Business, UC Davis School of Business and SVForum.
