Ms. Graves is a partner in the Corporate & Securities department of Pillsbury and co-leader of the firm's Restaurant, Food & Beverage industry group. Ms. Graves has broad-based experience in securities, finance and general corporate matters. She concentrates her practice in the core areas of mergers and acquisitions, capital formation activities, public offerings, corporate restructurings, private placements, SEC compliance matters, licensing transactions, asset sales and private equity investments.

Ms. Graves' public and private finance experience includes acting as counsel for issuers, underwriters, venture investors, strategic buyers, private equity funds, placement agents and selling stockholders. Her mergers and acquisitions experience includes representing both buyers and sellers, advising independent director committees, distressed sales, asset acquisitions through bankruptcy, and corporate reorganizations.

Ms. Graves represents a number of restaurant, retail and entertainment clients, including large national and regional restaurant chains, nightlife and event companies, early-stage restaurant ventures and brand development and licensing companies. Ms. Graves is Chair of the UCLA Extension California Restaurant Industry Conference held each spring and is a member of the firm's Corporate & Securities, Mergers & Acquisitions, and Marketing, Distribution & Franchising practice groups. Ms. Graves often speaks on various corporate and legal topics at restaurant industry conferences, CEB (Continuing Education of the Bar) conferences, and other programs. Ms. Graves is also involved in select charitable and community activities.
