Mr. Wong heads the San Francisco office’s Corporate & Securities practice group.

Mr. Wong helps public and private companies access capital, structure and negotiate complex transactions and communicate with investors by providing counsel on corporate governance, SEC disclosure and reporting, general corporate and capital market transactions and securities law. Drawing on his experience as deputy general counsel and corporate secretary for Organic, Inc., a Nasdaq-traded digital advertising agency, and as a State of California Executive Fellow at the California Commission on State Finance, Mr. Wong advises companies on emerging public disclosure issues in a regulatory environment, including climate change, risk management and executive compensation. He also has extensive experience helping boards of directors and management of public companies understand the challenges and responsibilities related to corporate governance.

He represents issuers and underwriters in a variety of securities transactions and advises principals in mergers, joint ventures and asset transactions. Mr. Wong has navigated public companies through negotiations, SEC disclosures, investor communications and approvals, and closing of complex merger transactions, including Chevron Corporation’s merger with Unocal Corporation, MicroLinear Corporation’s acquisition by Sirenza Microdevices, and UnionBanCal Corporation’s privatization through tender offer.

Mr. Wong also represents emerging growth companies and venture capital investors in financing transactions.

Mr. Wong is a contributor to Venture Capital and Public Offering Negotiation (2009).

As a member of the State of California Bar Association Corporations Committee, Mr. Wong co-edited Legal Opinions in Business Transactions (2005) and contributed to Handbook for Incorporating a Business in California (2006).

Mr. Wong is a member of the firm’s national recruiting committee and its opinions committee.
