Our Derivatives lawyers provide comprehensive advice on all types of over-the-counter derivative products, including equity, currency, credit and commodity based swaps, caps, floors, collars, options, futures, forward delivery contracts, structured securities, and other hybrid and synthetic transactions. For sophisticated financial institutions, dealers, and end-users who are new investors in these products, Pillsbury advises on the structuring, negotiating and documenting of stand-alone derivatives transactions, as well as derivatives transactions that are embedded in larger financings.
For financial institutions, we advise on the creation and documentation of new swaps, options, and other tailored derivatives products to meet the particular needs of clients and their counterparties. We also assist both dealer and end-user clients in the creation of form documentation and negotiation guidelines for their derivatives transactions.
Advising on legal and regulatory issues pertaining to derivatives trading and risk management is another important aspect of our work. In this area, we have assisted dealers in developing and implementing policies and operating procedures to govern their derivatives trading activities. We have also conducted reviews of internal controls and supervision with respect to such trading activities.
