Dulcie D. Brand
|
Ms. Brand represents institutional investors in all aspects of their private equity programs from initial due diligence and structuring through investment and disposition. She represents public and corporate pension plans and other institutional investors, including funds of funds, in investing in complex limited partnerships including venture capital, management buyout, and leveraged buyout funds. She also represents institutional investors in real estate opportunity and other real estate funds. In addition to fund investments, Ms. Brand advises institutional investors in direct investments in securities and in forming and maintaining strategic relationships, including joint ventures and captive fund of funds structures. She counsels institutional investors on arrangements with advisors and other aspects of their private equity programs. As a part of her private equity practice, Ms. Brand represents institutional investors in restructuring private equity investments, including in bankruptcy cases, and in portfolio transactions. Representative clients include the California Public Employees' Retirement System and the Los Angeles County Employees Retirement Association.
Ms. Brand’s corporate and transaction practice also includes private offerings of securities, acquisitions, and dispositions and corporate advice to debtors, creditors, and others in bankruptcy and restructuring matters and structuring transactions with distressed entities, particularly in the energy industry.
