Samantha Sharma represents clients in a variety of commercial real estate transactions including leasing, financing, acquisitions, dispositions and development, with an emphasis on leasing and development.
Samantha regularly advises owners, operators, investors, lenders, landlords and tenants on all aspects of commercial real estate. Her experience includes drafting and negotiation of complex commercial agreements, such as lease agreements for the leasing of office, research, industrial, retail and restaurant space; term sheets, purchase agreements, management agreements and joint venture agreements for the acquisition, disposition or development of office, alternative energy, industrial, multifamily residential and mixed-use properties; and loan documents for the origination, acquisition and syndication of commercial mortgage and mezzanine loans. Samantha’s experience also includes advising corporate, finance and energy clients on all aspects of real estate.

Leasing
- Represented and advised premier women’s hockey league in leasing of its practice and game day facilities in New York and Minnesota.
- Represented and advised joint venture composed of Swedish public real estate company and its developer affiliate in the negotiation of lease agreements with tenants for Class A office building in NoMad.
- Represented and advised a startup energy company in the negotiation of its lease in Mountainview, California.

- Represented and advised joint venture composed of LA-based real estate company and a major pension fund in its $1.3 billion purchase of Hudson Commons (reported to be the single-largest investment purchase in Manhattan since 2019).
- Represented and advised New York-based private university in its $122 million purchase of a research and office facility in Brooklyn.
- Represented and advised investor and joint venture partner in the acquisition of numerous hotel properties across the United States.
- Represented and advised investor in the $31.5 million disposition of 12 restaurant chain locations across the United States.

- Represented and advised institutional lender in connection with a $100 million refinance of debt encumbering multifamily apartment complex.
- Represented and advised joint venture in the acquisition of membership interests in owner of multifamily development in Maryland, and in the assumption of a $93 million first mortgage loan.
- Represented and advised joint venture in connection with a $61 million refinance of debt encumbering a large distribution facility.
- Represented and advised institutional lender in connection with a $35 million refinance of debt encumbering vacant land.
- Condominium/Cooperatives
- Represented and advised sponsors of luxury and ultra-luxury condominium buildings in forming condominiums and filing offering plans with the Attorney General.
- Represented and advised sponsor of condominium building located in Midtown Manhattan in a $67.5 million bulk sale of 74 rent-stabilized units.
- Represented and advised sponsors in the negotiation and sale of condominium units, with purchase prices of up to $180 million.
- Represented and advised the boards of various cooperative corporations in connection with refinancing outstanding debt encumbered by the corporations’ fee interests in the real property.
- Represented and advised borrower in connection with obtaining a $23.5 million construction loan encumbering property improved by a condominium building located in Tribeca.
- Represented and advised commercial lenders in providing loans to condominium boards, secured by common charges, special assessments and future receivables.
- Advised the boards of corporations and condominiums in corporate governance affairs, including drafting and amending their by-laws.
- Not-For-Profit/Pro Bono
- Represented and advised not-for-profit architectural firm in connection with its petition before the Charities Bureau for approval of the sale of its real property located in Flatiron.
- Represented and advised a not-for-profit organization in the negotiation of a sublease agreement to expand its existing space in Bronx, NY.
- Represented and advised members of the Female Tactical Platoon in filing and arguing asylum application before the U.S. Citizenship and Immigration Services.
- Advised Lawyers for Good Government in connection with the Reproductive Health Legal Assistance Project to update database with current abortion laws.
