Pillsbury has one of the leading financial services regulatory practices in the U.S. For over 50 years our attorneys have provided sophisticated advice to help clients achieve their business objectives with minimal regulatory burden and risk. The practice is one of the nation’s largest, with approximately 30 attorneys dedicated to complex banking and securities regulatory matters for both US and foreign institutions. Our financial services regulatory practice is not only one of the oldest and largest, but it is also national in scope with lawyers practicing in Washington, DC, New York and California.
We represent a diverse client base of over 200 financial services organizations from around the world. Our clients include financial holding companies, banks, thrift institutions, insurance and reinsurance firms, broker-dealers, investment advisors, private equity funds, trust companies and industry trade groups. We represent leading financial organizations based in the US and over 15 other countries, including Australia, Belgium, Canada, Chile, France, Germany, Israel, Japan, Mexico, the Netherlands, Switzerland and the United Kingdom.
Our work spans the full range of strategic, regulatory, compliance and enforcement matters. Our experience includes structuring, negotiating, documenting, and obtaining regulatory approvals for mergers and acquisitions; establishing, expanding, reorganizing, and divesting banking and non banking operations; analyzing and assisting in the development of new products and services; assisting in the issuance of capital securities and compliance with regulatory capital requirements; analyzing and influencing legislative and regulatory initiatives; responding to regulatory examinations; and complying with the seemingly never-ending maze of regulatory requirements. We counsel our clients on intricate compliance matters related to financial privacy, consumer protection, and anti-money laundering requirements, particularly those in the USA PATRIOT Act. When the situation warrants, we conduct comprehensive internal investigations, and also defend clients in regulatory investigations and enforcement proceedings, divestiture actions and court proceedings.
Our broad and diverse regulatory practice has enabled us to build strong working relationships with each of the key federal and state agencies that oversee the financial services sector. At the federal level, we work extensively with the Federal Reserve Board, the Treasury Department, the Comptroller of the Currency, the Federal Deposit Insurance Corporation, the Office of Thrift Supervision, the Financial Crimes Enforcement Network, the Office of Foreign Asset Control, the Securities and Exchange Commission, and the Commodity Futures Trading Commission. At the state level, we regularly appear before the California Department of Financial Institutions and the New York State Banking Department. Our professional relationships and experience, developed through years of close interaction with key staff members at these and other agencies, are among the most important assets we offer our clients.
