Mr. Weston is a member of the firm's Finance practice section and serves as leader of the Public Finance team. He represents bond issuers, underwriters and not-for profits in a variety of taxable and tax-exempt transactions involving infrastructure, housing and higher education. He also represents a significant new participant in the municipal financial guaranty industry that uses a patented pool structure to enhance its balance sheet. Mr. Weston has broad experience representing asset managers in private equity, real estate and other alternative asset classes. Mr. Weston regularly works with emerging managers and minority-owned financial services companies, in a number of areas, including MWBE certifications. He also has broad experience in securitization and structured finance, having represented originators, underwriters, investors, bond insurers, and trustees in connection with CMBS, CDO, and other asset classes.

Representative Matters
  • Acted as underwriters' counsel for Loop Capital Markets LLC in connection with its purchase of $128,340,000 principal amount of Dormitory Authority of the State of New York (DASNY) Lease Revenue Bonds (State University Dormitory Facilities Issue), Series 2010A. The bond proceeds will be applied to the acquisition, construction, rehabilitation and improvement of dormitories located on various campuses within the State University of New York system. DASNY recently selected Pillsbury to serve on its panel of preapproved underwriter's counsel. DASNY is the second-largest issuer of tax-exempt debt in the country with close to $8 billion of annual new issuance. Only the State of California is more active.
  • Represented Alameda County in connection with the issue of certain lease revenue bonds, including Taxable Build America Bonds, Taxable Recovery Zone Economic Development Bonds and Tax-Exempt Bonds to finance certain capital projects for the Alameda County Medical Center.
  • Acted as underwriters' counsel for JP Morgan, as Remarketing Agent in connection with the reoffering of $145,495,000 principal amount of Dormitory Authority of the State of New York Lease Revenue Bonds (State University Dormitory Facilities Issue), Series 2010A. The bond proceeds will be applied to the acquisition, construction, rehabilitation and improvement of dormitories located on various campuses within the State University of New York system.
  • Acted as underwriters' counsel for JP Morgan, as Remarketing Agent in connection with the reoffering of $26,910,000 Water and Sewer System Subordinate Revenue Refunding Bonds, Series C-1D of 2008 issued by The Pittsburgh Water and Sewer Authority.
  • Acted as underwriters' counsel for JP Morgan, in connection with its purchase and resale of $305,000,000 principal amount of Dormitory Authority of the State of New York Cornell University Revenue Bonds, Series 2009A. The bond proceeds were applied to the refinancing of DASNY's outstanding Commercial Paper Notes (Cornell University 1998 Issue) and various construction projects, renovations and other improvements for the campus facilities in Ithaca, New York and the New York City Weill Medical College Campus.
  • Acted as underwriters' counsel for JP Morgan, in connection with its purchase and resale of $500,000,000 principal amount of Series 2009 Taxable Bonds issued by Cornell University. The bond proceeds will be meet operating shortfalls and other potential liquidity needs, making up shortfalls in endowment and other sources of funding as may be necessary over the next several years.
  • Acted as underwriter's counsel for Rice Financial Products Company in connection with its purchase and resale of $29,000,000 PILOT Revenue Bond Anticipation Notes (Arthur Capper/Carrollsburg Public Improvements Issue), Series 2010. The note proceeds were used to refinance certain indebtedness the District of Columbia Housing Authority (DCHA) incurred, and reimburse DCHA for amounts expended, to construct certain Capper/Carrollsburg Public Improvements and to provide funding for additional Capper/Carrollsburg Public Improvements in the District of Columbia.
Affiliations
Mr. Weston is a member of the National Association of Investment Companies, the National Association of Securities Professionals and the Council of Urban Professionals. He is a governor appointee to the Real Estate Board of the State of New York and a State Senate appointee to the New York State Procurement Council. He is a founding trustee of Democracy Prep Charter School and a board member of Weston United Community Renewal.
