Mr. Thomas practices primarily in the areas of corporate finance, mergers and acquisitions, technology transactions, venture capital and executive compensation. He is a member of the firm's Information Technology, Life Sciences & Health Care Technology and Clean Technology practice teams and is the co-leader of the firm's Nanotechnology practice team.

He represents companies at all levels of development, from start-up and emerging companies, to pre-IPO companies, to public companies. His client representation focuses on public and private offerings; SEC reporting and compliance; public and private acquisitions and dispositions; joint ventures and strategic alliances; venture capital financings; board fiduciary duties, governance and support; going private transactions; stock option and other equity compensation matters; PIPE offerings; debt offerings; disclosure obligations; and corporate secretary duties.

His work with clients includes counseling management on fiduciary, disclosure and other obligations, preparation and negotiation of transaction documentation, and compliance with corporate, securities and takeover laws. In addition, he represents clients in connection with licensing, OEM, distribution and other technology–related and commercial transactions.
