Mr. Donaldson represents real estate investment trusts (REITs), corporations, financial institutions, partnerships and individuals in a broad range of federal income tax and business-related issues, including planning, transactional, controversy, accounting and regulatory tax matters. He has been involved in all tax and business aspects of public and private debt and equity offerings for corporations, thrifts and real estate investment trusts, and offerings of asset-backed securities including credit card and home equity loan securitizations, REMICs and similar transactions. Mr. Donaldson has also represented owners of private portfolios of real property in capital transactions with existing REITs. In addition, he has represented clients engaged in debt restructurings, refinancings, and insolvency and bankruptcy workouts. He counseled corporations and U.S. and domestic financial institutions on the tax treatment of caps, swaps and other notional principal contracts and has co-authored several articles in this area. Mr. Donaldson also represents venture capitalists in connection with investments in high-tech and emerging companies.
