Mr. del Calvo focuses on the representation of technology companies in venture capital and securities transactions, including public offerings, private placements, mergers and acquisitions, and joint ventures. He joined the firm in 1982 and was made a partner in 1990. Mr. del Calvo served as co-leader of the firm’s Silicon Valley Business group from 1994 to 2005 and as a member of the firm's board since 2006.
During the period from 2000 to present, Mr. del Calvo has led the nation in representing issuers in completed technology IPOs. During his career, he has represented U.S. and foreign issuers in hundreds of public and private offerings of equity, debt and convertible securities, including initial public offerings for Techwell, eTelecare Global Solutions, PortalPlayer, Inc., PeopleSupport, Inc., Atheros, Inc., SiRF, Inc., SYNNEX Corporation, Magma Design Automation, Inc., WebEx, Inc., SupportSoft, Inc., Tvia, Inc., Alliance Fiber Optics Products, Inc., Critical Path, Inc., Network Solutions, Inc., Netcom On-Line Communication Services, Inc., SONICblue Incorporated, Paradigm Technology, Inc., and NexGen, Inc. In 2000, he represented Network Solutions in its $2,200,000,000 follow-on public offering, which was the largest internet follow-on public equity offering in history.
Mr. del Calvo has also been involved in numerous merger and acquisition transactions, representing both sellers and purchasers. Representative transactions include: WebEx in its $3,200,00,00 sale to Cisco; Securent in its $100,000,000 sale to Cisco; PortalPlayer in its merger with NVIDIA; Applied Semantics in its merger with Google; NexGen in its merger with AMD; and NETCOM in its merger with ICG.
Mr. del Calvo's representation of investment bankers includes work with such clients as Goldman Sachs & Co., Deutsche Banc Alex Brown, Lehman Brothers Inc., UBS, A.G. Edwards, and Needham & Company, Inc. on a number of public offerings, private placements, spin-offs, and other transactions.
Mr. del Calvo has also represented a number of venture funds (including Redwood Ventures IV and Raza Venture Fund A and B) and incubators (including New Path, LLC and Raza Foundries) in connection with their formation and has represented a number of venture capital funds and investors in private placements of equity and debt.
Currently, Mr. del Calvo is on the board of directors of Berkeley Process Control. He has served on a number of other boards in the past, including those of Innogenex, Riverstone Networks (RSTN), Procket Networks, Deepa Textiles, Xambala and New Path, LLC.
Mr. del Calvo is a Coordinating Editor of the Venture Capital and Public Offering Negotiation, a two-volume treatise for lawyers. He has also been a Visiting Lecturer at Stanford Law School where he has taught several corporate law courses and Continuing Education for the Bar (CEB) courses.
In addition, Mr. del Calvo regularly advises several large and small publicly and privately held companies and their boards of directors regarding a broad range of corporate and securities matters. His representation of public companies emphasizes corporate governance, including the Sarbanes-Oxley Act and new stock exchange governance initiatives, as well as the law regarding public disclosures through periodic reports to the SEC, proxy statements, press releases and the like. He has represented private companies in connection with various equity and debt financings and shareholders’ agreements and other arrangements among shareholders of closely held entities. He regularly consults with public and privately-held companies concerning issues involving the fiduciary duties of directors, corporate control issues and similar matters.
Mr. del Calvo is listed in The Best Lawyers in America 2005-2007 edition in the areas of Corporate Law, Leveraged Buyouts and Private Equity Law, Mergers & Acquisitions Law, Securities Law and Venture Capital Law. He is cited in the 2005, 2006 and 2007 editions of Chambers USA: America’s Leading Lawyers for Business as top in his field for Corporate and Mergers and Acquisitions Practices. In 2005, 2006 and 2007 he was named a Northern California Super Lawyer as the result of a joint research project conducted by Law & Politics and San Francisco Magazine.
Mr. del Calvo is a charter member of the Silicon Valley chapter of the Indus Entrepreneurs (TiE), Asian American Multicultural Association (AAMA), and HispanicNet. He has been a speaker at various conferences sponsored by TiE, AAMA, HispanicNet, Silicon Iran, and other industry organizations.
