Joseph R. Tiano, Jr.
|
Over the course of his career, Mr. Tiano has concentrated his practice on public and private securities offerings, mergers and acquisitions, recapitalizations, and private equity and venture capital investments in a wide variety of industries, including automotive, technology, education, financial services, manufacturing, biotech and pharmaceuticals and consumer goods. Mr. Tiano also represents underwriters, investors, venture capital firms, and financial intermediaries in their underwriting, investment, and advisory activities. Mr. Tiano has been involved in all phases of complex transactions, including initial planning, structuring, negotiation and implementation. He also advises clients in day-to-day corporate governance and securities law compliance issues and has significant experience with technology transfer and licensing agreements and related intellectual property transactions.
As a member of the firm's China practice group, Mr. Tiano regularly advises Chinese companies seeking to access the U.S. capital markets. He frequently travels to China to advise his clients and spends a portion of his time working out of the firm's Shanghai office.

- Represented over a dozen China-based public companies in their PIPE financing transactions with aggregate investment proceeds exceeding $300 million
- Represented enterprise software company in multiple rounds of venture capital financing totaling over $70 million
- Represented network monitoring software company in multiple rounds of venture capital financing totaling over $28 million
- Represented alternative energy monitoring software company in its $18 million venture capital financing
