Mr. Giordano's practice focuses on state and local taxes with particular emphasis on audits, litigation, state and local tax planning and transactional work. Mr. Giordano comes to Pillsbury from Wyeth (now Pfizer) where he held several positions, including Senior Tax Counsel and Director of State Taxes. In that role, his practice involved protest and resolution of income, franchise, sales and use and property tax matters. Mr. Giordano's experience also includes M&A due diligence, supervision of preparation of returns, litigation of assessments, legislative review/drafting and tax lobbying.
He has supervised tax audit and compliance accountants, directed corporate tax compliance procedures for parent company/subsidiaries, and negotiated tax issues with both State and Federal Revenue Agents and Appeals Officers. Mr. Giordano has litigated state and local tax issues at both the trial and appellate levels in a multitude of jurisdictions.
Mr. Giordano has negotiated tax aspects of mergers, acquisitions, divestitures, and joint ventures, and served as Advisor to Treasury, Business Divisions and Senior Management on state and local tax matters. Further, he has led budget and administrative functions, contributed to Sarbanes-Oxley compliance, designed processes/controls, and supervised internal accounting and legal staff as well as outside counsel.
His experience also includes having contested escheat audits and overseeing the unclaimed property filings to numerous jurisdictions while at Wyeth. His experience is practical in nature, having dealt with numerous third parties retained to conduct audits on behalf of the States, while retaining the advantage of knowing the legal ramifications of taking certain positions, presenting a unique and valuable insight for either contesting a determination or seeking guidance for current filings.
