Ms. Mann, whose practice is concentrated in the area of corporate and securities law, is the leader of Pillsbury’s Private Equity Practice Team. Ms. Mann focuses her practice on investment fund formation and maintenance and represents domestic and international fund sponsors, general partners and fund managers in structuring, organizing and negotiating the terms of private equity, venture capital, mezzanine debt and real estate funds. A significant aspect of her practice also involves representation of large institutional investors in connection with their alternative investments. She prepares and reviews private placement memoranda, prospectuses and other offering and disclosure documents and negotiates investment terms in connection with public and private placements of debt and equity securities. Ms. Mann also advises investment companies, investment advisers and broker-dealers in matters relating to registration under and regulatory compliance with federal and state securities laws. Her transactional practice includes, among other things, acquisitions and dispositions by entities regulated under the Investment Company Act of 1940, the Securities Exchange Act and the Investment Advisers Act of 1940. In addition, Ms. Mann advises businesses about general corporate matters and compliance with federal securities laws and rules promulgated by US stock exchanges.
