Ms. Hannusch's practice includes real estate and general commercial transactions, focusing primarily on purchases and sales of real property, mortgage and mezzanine lending, leasing and entity formations.
Ms. Hannusch represents buyers and sellers in the purchase and sale of industrial, office, retail and mixed-use properties. Ms. Hannusch has represented clients in connection with the purchase and sale of refineries and other industrial facilities in Texas, California, New Jersey and the Bahamas and timberlands throughout the United States. Ms. Hannusch represented private real estate companies and their affiliates in the purchases and sales of properties throughout the United States, including the acquisition of 2 Liberty Place in Philadelphia; Washington Harbour in DC; 500 West Monroe, Prudential Plaza and the John Hancock Center in Chicago; the First Union Financial Center in Miami; the Energy Centre in New Orleans; 50 Fremont Street and the Adam Grant Building in San Francisco; portions of Oakland City Center; 2 Riverway in Houston; and The Campus at Legacy in Plano, Texas. Ms. Hannusch also represented buyers and sellers in connection with their purchases and sales of properties in Austin, Boston, Denver, Miami, Minneapolis, Omaha, Nashville, the San Francisco Bay Area, Seattle and Washington, DC. She has advised a public REIT in connection with the purchase and sale of shopping centers throughout the United States.
Ms. Hannusch's leasing experience includes the representation of landlords and tenants in drafting and negotiating ground leases and space leases for industrial, office, hotel and shopping center facilities. Ms. Hannusch represented BART in connection with its 200,000 square foot office lease in Oakland and its lease from the City of San Francisco of space for BART's station at San Francisco International Airport. She also represented BART in its negotiations of ground leases with several private developers and with other governmental entities for projects involving the development of office buildings, retail facilities, apartments, a hotel and other mixed-use developments, including advising BART in its negotiations with the City of San Bruno regarding a shared-use police facility. Ms. Hannusch also has drafted and negotiated ground leases for hotels in California and Texas, a nuclear power plant in Texas, power plants and waste processing facilities in the U.S. Virgin Islands, an ethanol plant in North Dakota, a medical office building in San Francisco and a power plant in California. She also has handled the real estate work for companies acquiring leaseholds and easement interests for renewable energy projects.
Ms. Hannusch's financing experience includes representing lenders and borrowers on major loan transactions. She has advised a public REIT on numerous mezzanine and participating loan transactions, including those providing financing for a portfolio of casinos in Las Vegas, resort in Nevis, historic hotels in Santa Monica, a ski resort in California, a series of seaside hotels in Daytona Beach, Florida, an office portfolio in Seattle and a condominium conversion project in New York City. Ms. Hannusch has represented institutional lenders on numerous loans secured by California and Texas real property. Ms. Hannusch also represented borrowers in acquisition loans, construction loans, refinancings and loan modifications, including many securitized loans and loans secured by energy assets.
Ms. Hannusch has formed numerous limited liability companies and partnerships and has represented clients in purchases and sales of limited liability company interests and partnership interests.
