Ms. Wang is a legal consultant in the Corporate & Securities section of the firm’s Shanghai office. She advises clients in the fields of foreign direct investment, merger and acquisition, and capital market transactions. She has experience in representing major international clients in investment projects in China in a wide range of industries such as manufacturing, real estate, retail and high-tech industry. She also advised China-based companies in connection with their public offering transactions. She provides legal advice on transaction structure and various PRC legal issues, including industry policies, administrative approval procedures, taxation, foreign exchange controls, import and export measures, intellectual property protection, land use rights, labor issues and coordinates with relevant government agencies.

Ms. Wang has experience in drafting and negotiating letters of intent, sales and purchase agreement, escrow agreement and other transaction documents. In addition, she conducts due diligence review of PRC companies in connection with transactions, including document review, interview of management and employees, suppliers and customers, and coordinating with local counsel. She also assists PRC companies and MNCs including the audit or special committees of these companies, in investigating potential U.S. securities law and FCPA violations.

Prior to joining the firm, Ms. Wang practiced at a leading law firm in China for more than three years.
