    • Handled IP due diligence, copyright and trademark issues as well as talent issues in connection with AT&T Services Inc.’s acquisition of a media company. We also spearheaded the entertainment content and entertainment union-related aspects of this complex transaction.
    • Represented Alta Communications Inc., principal investor in Mississippi Television LLC, and CSE, in Mississippi’s acquisition of assets of Mississippi Television LLC in exchange for the assumption of certain liabilities.
    • Represented Wells Fargo Foothill Inc. in the acquisition of radio stations by Armada Media Corporation, Centennial Broadcasting II, LLC, and Independence Media in the acquisition of television stations by Frontier Capital Partners and the restructuring of GoodRadio.TV.
    • Represented Reelin’ in the Years Productions in connection with its acquisition of all rights in the popular European music show Countdown and in its handling of the archives from The Merv Griffin Show.
    • Assisted music industry clients with acquisition of archival content, both audio and audiovisual; rights deals; and both inbound and outbound distribution licenses.
    • Assisted clients with movie content acquisition, production deals and related licensing, including clip licenses in both directions, full movie distribution deals and licensing arrangements.
    • Advised leading global children’s entertainment company Spin Master Ltd. on its $85 million Swimways Corp. acquisition, which established Spin Master as a key player in the Outdoor and Sports Toys category.
  • Advisory
    • Negotiated agreements associated with various museum touring exhibitions including “Tutankhamun and the Golden Age of the Pharaohs,” an exhibit displaying the treasures of King Tut.
    • Advised on a wide range of sports-related promotions, sponsorships and ambush marketing issues for the France ’98, Japan/Korea 2002 and Germany 2006 World Cups and the London 2012 Olympics.
    • Advised on the 2012 Host City Contract with IOC and related new Olympics legislation.
    • Advised the Washington Post Company, a diversified media organization, in connection with open source technology matters.
    • Aided a TV Station Consortium in negotiating equipment change-outs with two mobile service providers.
    • Represented one of the digital satellites radio companies regarding its music licensing needs.
    • Negotiated a statutory license for use of digital music on the internet for a group of commercial webcasters.
    • Represented the Arizona Cardinals in connection with its e-commerce provider in 2014 and in connection with a revised version of the deal in 2015.
  • Dispute Resolution
    • Achieved a successful settlement for a client in a copyright infringement matter concerning a popular animated television series.
    • Represented a media company in an indemnity matter arising out of a lawsuit alleging copyright infringement and unfair competition in connection with online radio stations.
    • Defended a media company in litigation alleging copyright infringement regarding use of plaintiff’s photos on its website. Favorably settled, with our client retaining free perpetual license to use the photographs.
    • Represented Medora Holdings in a class action lawsuit where the plaintiff alleged that our client falsely advertised the “Popcorners” product as being “all natural.” The matter was dismissed in federal court with prejudice.
    • Defended The Kroger Co. and Ralphs Grocery Company in 20 coordinated class action matters involving false advertising and unfair practices claims.
    • Defended Carnival Cruise Lines in a case arising from a travel broker’s advertising brochure offering reduced cost and free travel on a few cruise lines, including Carnival. Case was dismissed and was affirmed by the Court of Appeal.
