Silicon Valley is such a good incubator for new business partly because its key players take on so many concurrent roles. However, companies that rely on people with overlapping fiduciary duties could potentially expose themselves to complex litigation risks.
Recently a judge handling discovery in a “no poach” employment case against seven Valley giants had to evaluate whether Google's communications with Intuit chairman and former CEO Bill Campbell were privileged. Campbell was a Google consultant and is an Apple director.
Allison Leopold Tilley, Silicon Valley-based partner in Pillsbury’s corporate and securities technology practice, said it’s important for companies to keep the lines as clean as possible. “We conduct annual board assessments for our clients. It's something that needs to be looked at continuously.”
She added, “Anything that adds fuel to the fire can be something for plaintiffs’ lawyers to latch on to.”
