    Upstream oil and gas acquisitions and dispositions are a hallmark of our energy transactions practice. Pillsbury has market-leading strengths in the oil and gas exploration and production sector and a history of more than a century in assisting clients with significant U.S. oil and gas acquisitions and dispositions. Our Oil & Gas team has extensive experience with the drafting and negotiation of the documentation required to acquire and dispose of U.S. unconventional and conventional oil and gas properties, including purchase and sale agreements, development agreements, joint operating agreements, marketing agreements, and tax partnership agreements.

    Our Oil and Gas team has represented clients in connection with numerous midstream transactions. Our lawyers have substantial experience in the acquisition and disposition of various types of midstream assets, including gathering systems, pipelines, and gas processing facilities. Our midstream practice has spanned several different geographic areas.

    Pillsbury has also represented clients in the negotiation of transportation and storage agreements involving FERC -regulated interstate pipelines and storage facilities across the U.S. We are experienced in navigating the intricate regulatory issues inherent in any of these transactions.

    We have provided environmental and commercial law advice on a number of transportation and pipeline operations and transactions, including several pipeline acquisitions and divestitures. Our work has also included permitting and litigation associated with the siting of new pipelines.

    Our downstream Oil and Gas practice has represented clients in the construction, acquisition, disposition, development and financing of various types of downstream oil and gas projects. We have negotiated several of the most significant sales of refineries in the U.S.

    A key aspect of our downstream oil and gas practice is our natural gas trading practice. With the rapid growth of U.S. natural gas supplies, we have had the opportunity to assist clients in natural gas transactions of all different varieties, including long-term gas sale and purchase agreements and NAESB contracts and special provisions attached thereto.

    Pillsbury also boasts a robust petrochemicals practice, having been involved in the construction and acquisition of petrochemical facilities. We have advised clients on the formation of joint ventures with respect to these facilities having several different structures.

    We represent refiners and marketers on a wide variety of environmental, commercial, trade regulation, litigation and other issues, notably with jobber and dealer arrangements subject to the Petroleum Marketing Practices Act.
