R.J. Davis, Pillsbury’s Northern Virginia office leader, represents local, regional and national developers, lenders, equity funds, private and institutional investors, and joint venture partners in commercial real estate transactions.

R.J.’s practice encompasses the acquisition, development, financing, leasing and disposition of diverse property types, including commercial office buildings, mixed-used developments, hotels, portfolio projects, planned communities, resort and marina properties, golf courses, shopping centers and malls, as well as single-family and multifamily developments. He also has experience with public-private partnerships, including the privatization of military housing facilities. His financing work includes the restructuring of construction loans and debt financing and mezzanine and securitized debt obligations.

Representative Experience

  • Representation of real estate investment trusts in multiple acquisitions, dispositions and financings, including for a publicly traded national real estate investment trust in the acquisition of a shopping center portfolio, that included the issuance of down REIT units and simultaneous assumption of multiple loans.
  • Representation of both equity interests and sponsorship development interests in joint venture arrangements, which work includes the representation of a sponsorship developer in the entire life cycle of a $100 million mixed-use project comprised of residential, retail and entertainment facilities to a publicly traded real estate investment trust, including property assemblage, placement of equity interests, construction financing, permanent financing and anchor lease negotiations.
  • Headquarters facilities, including for a publicly traded company in the acquisition and lease of its multibuilding, build-to-suit headquarters complex for office, laboratory and R&D facilities.

  • Represented numerous borrowers in construction and permanent loans, which work includes representation of a consortium of affiliated borrowers in a $400 million multiphase construction loan for a mixed-use destination project that includes condominiums, apartments, offices, retail and entertainment.
