Stan Wong focuses on securities and general corporate law matters.

This includes public offerings, private placements, mergers and acquisitions, securities law compliance, corporate governance and general corporate representation. Stan works with public and private companies, investment banks, and venture capital funds in industries including technology and life sciences. He has represented issuers ranging from startup companies to Fortune 100 companies on a wide variety of corporate and securities law matters, including corporate governance, periodic reporting and disclosure matters, takeover defensive measures, and corporate partnering and technology licensing transactions.

  • Represents issuers, underwriters, placement agents and investors, and has worked on more than 250 public and Rule 144A offerings and numerous private placements of equity and debt.
  • Handles initial public offerings, follow-on offerings, and registered direct placements of common and preferred stock, and public, Rule 144A and private offerings of convertible, investment grade and high-yield debt.
  • Advises company and investment bank clients with respect to negotiated and unsolicited acquisitions of public and private companies through tender offers, mergers, and asset acquisitions.
