Stanton D. Wong
|
Mr. Wong is co-leader of the firm’s Securities practice team. His practice focuses on securities and general corporate law matters, including public offerings, private placements, mergers and acquisitions, securities law compliance, corporate governance, and general corporate representation. He works with public and private companies, investment banks, and venture capital funds in a broad range of industries, including technology and life sciences.
He represents issuers and underwriters in public offerings and private placements of equity and debt. He has broad capital markets transaction experience and has handled numerous initial public offerings, follow-on offerings, and registered direct placements of common and preferred stock, and public, Rule 144A and private offerings of investment grade and high-yield convertible and straight debt and preferred stock. He also represents issuers, investors, and placement agents in start-up, venture capital, mezzanine stage and PIPE financings. He has also worked on a number of less traditional equity financings, including the representation of investment banks as dealer managers for rights offerings of public companies, the representation of Rule 144A initial purchasers in connection with the first "going public" convertible subordinated debenture offering by a privately held issuer, and representation of an issuer in connection with a "special purpose corporation" units offering.
Mr. Wong’s mergers and acquisitions practice includes advising company and investment bank clients with respect to negotiated and unsolicited acquisitions of public and private companies through tender offers, mergers, and asset acquisitions. He has also represented publicly held companies in connection with "tracking stock" recapitalizations, issuer tender offers, and other recapitalization matters. He has represented issuers ranging from start-up companies to Fortune 100 companies on a wide variety of corporate and securities law matters, including corporate governance, periodic reporting and disclosure matters, takeover defensive measures, and corporate partnering and technology licensing transactions.
Mr. Wong is a contributor to Venture Capital and Public Offering Negotiation (Aspen Law & Business) and has written and lectured in the area of public offerings.
