Mr. Thomas practices primarily in the areas of corporate finance, mergers and acquisitions, technology transactions and executive compensation. He is a member of the firm’s Life Sciences practice team and the co-leader of the firm’s Nanotechnology practice team.

Even though he represents companies in many industries and at all levels of development, he has considerable experience with emerging companies in nanotechnology, life sciences and information technology.

His client representation focuses on financing transactions, including private financings, angel and venture capital financings, bridge financings, initial public offerings, follow-on offerings, and strategic alliances. He also works with clients in mergers, acquisitions and dispositions of both private and public companies. This includes counseling management on fiduciary and disclosure obligations, preparation and negotiation of transaction documentation and compliance with corporate, securities and takeover laws. In addition, he represents clients in connection with licensing, OEM, distribution and other technology-related transactions.
