Theresa Lee is a senior associate in the law firm's Corporate & Securities practice and is located in the San Francisco office.
Ms. Lee’s practice focuses on general corporate, securities, and transactional matters, including venture capital financings, corporate reorganizations, mergers and acquisitions, and other financing and liquidity events, with a special focus on the representation of emerging growth companies throughout their lifecycle, from formation through exit planning. Ms. Lee has had the opportunity to do a one-year secondment with a technology company’s strategic investment fund, during which she focused on representing the fund in its venture capital investments. Following the end of the secondment, at Pillsbury she continued to represent the strategic investment fund, reviewing and negotiating transaction documents and coordinating closings for approximately 30 private placements, debt financings and portfolio company matters. Ms. Lee contributed research to Chapter 13, "Down Round Financings," in the venture capital treatise, Venture Capital and Public Offering Negotiation. At the University of California, Berkeley, Boalt Hall School of Law, Ms. Lee served as the Managing Editor of the Asian Law Journal and won the Moot Court Advocacy Award.
Ms. Lee’s practice also focuses on mergers and acquisitions, general corporate governance matters and representation of emerging growth companies. Representative examples of deals on which she has provided support include: a $20 million acquisition of a private software company; a $50 million acquisition of the assets of a business engaged in the sourcing of medical-surgical products from overseas factories; the $49.5 million acquisition of a large technology portfolio by our client, a secondary acquirer of venture capital and private equity investments in emerging growth companies; and a $90 million acquisition of three asphalt, sand and aggregate companies, which involved complex real estate and transfer issues with the San Francisco Public Utilities Commission.
