Eunice Choi is the leader of Pillsbury’s Private Capital Sponsor practice and a partner in the firm’s Corporate practice. Eunice represents sponsors in the formation of a wide variety of private capital funds, ranging in size from multibillion-dollar partnerships to early-stage micro venture capital firms.
Eunice has extensive experience in organizing domestic and offshore fund entities for both fund establishment and the conduct of investment activities, preparing investment fund offering documents, negotiating partnership agreements and side letters with investors, structuring investment transaction vehicles and documenting investment subscription processes. She also counsels investment advisers with regard to their regulatory compliance matters and a select number of institutional and corporate investors with regard to their investments in private funds.

- Advised U.S./Japan private investment firm in connection with the launch of its third blind pool venture capital fund (negotiating side letters with non-U.S. corporates and sovereign wealth funds), second fund-of-funds and several corporate venture capital vehicles for the investors in the blind pool and fund of funds.
- Advised venture capital AI residency accelerator sponsor on the launch of its fifth venture capital fund.
- Advised leading venture capital firm in connection with the launch of its third blind pool fund, negotiating side letters with U.S. state pension and sovereign wealth entities and non-U.S. sovereign wealth funds.

- Represented fund-of-funds, institutional investors and corporate clients in sales of and in investments in venture capital funds and in fund sponsors (GP/sponsor stakes) and GP-led secondaries.
- Advised fund managers on team onboarding/transition matters during crisis situations, such as bank failures, actual and threatened litigation, and key person events.
