John Storz has extensive experience representing creditors, ad hoc groups and investors in out-of-court and in-court restructurings and distressed transactions, and routinely advises institutional investors on their investment activities across the capital structure, including developing and executing innovative structures.
John has significant experience in general corporate, securities, governance and finance matters, including mergers and acquisitions, equity and debt offerings, corporate reorganizations and joint ventures. He represents clients across a range of industries, including manufacturing, telecommunications, financial services and biotechnology. John also regularly serves as a trusted advisor to companies, boards of directors, special committees and C-Suite officers with respect to a wide range of corporate issues, strategic transactions, restructuring transactions, governance matters, fiduciary duty questions and federal securities law compliance.

Chapter 11/Restructuring
- Represented an ad hoc group of holders of convertible debt issued by a leading information technology company in connection with the out-of-court restructuring of its existing notes and the issuance of a new series of convertible notes.
- Represented the independent members of the board of directors of a developer and manufacturer of electric vehicles in connection with a bridge loan provided by affiliated entities.
- Represented an ad hoc group of holders of convertible debt issued by the world’s leading manufacturer of sustainable ingredients made with synthetic biology in connection with the company’s chapter 11 proceedings, including the 363 sales of substantially all of its assets.

- Represented an ad hoc group of holders of secured convertible notes issued by a digital mining services company in connection with the company’s chapter 11 proceedings, including an equity rights offering and the issuance of new convertible notes, warrants and other securities.
- Represented the purchaser of two luxury vessels and related assets through receivership proceedings.
- Represented the official committee of unsecured creditors of an oil and gas exploration and production company, including with respect to a credit bid transaction pursuant to which the company sold substantially all of its assets, as well as the company’s two rights offerings and issuance of warrants.

- Served as counsel to a large ground transportation and logistics company in its acquisition of a regional truckload carrier and brokerage, together with a related financing and sale-leaseback transaction.
- Represented the majority investor in a de-SPAC financing of $150 million of convertible senior notes, issued by an internet media, news and entertainment company focusing on digital media.
- Represented the majority investor in a de-SPAC financing of $150 million of convertible senior notes, issued by an external cybersecurity company which provides cloud-based software to its customers.
- Represented a global provider of expedition cruises and adventure travel experiences in its acquisition of a controlling interest in a luxury cultural walking tour company.
- Represented a renewable energy development and financing company in connection with multiple financing transactions, culminating with the company’s sale to a leading investor in climate change solutions.
- Represented a company that developed an intuitive technology platform designed to support financial advisors through its provision of tools for portfolio management, client engagement and compliance, in connection with a series of acquisitions and an equity financing.
- Represented the founder of a NY-based natural cosmetics company in the sale of the company to a multinational manufacturer of cosmetics, personal care products and beauty products.
