Nigel Frank’s practice focuses on complex capital markets transactions including initial public offerings, secondary offerings, unregistered offerings, direct listings and at-the-market offerings.
Nigel advises on both equity and debt deals with a concentrated focus in the technology, energy and life sciences industries. As part of his corporate practice, he often represents major corporations and large financial institutions in acquisitions, private placements, asset-based securitizations and mezzanine financing deals.

He also maintains an active securities compliance practice in which he counsels public companies on their Exchange Act reporting obligations in addition to miscellaneous matters of corporate governance.
Prior to his legal practice, Nigel served as a research assistant for former CIA Director John Brennan.

- Represented an underwriting group led by Citigroup and J.P. Morgan in a $1.4 billion SPAC initial public offering with Talkspace, Inc., an online and mobile therapy services company.
- Represented an underwriting group led by Morgan Stanley in the $125 million initial public offering of IsoPlexis, Inc., a gene therapy focused biotechnology company.
- Represented a group of initial purchasers led by Bank of America in a $700 million high yield bond deal for SNF, Inc., a chemical solutions company.
