Pillsbury Corporate senior counsel Patricia Young has extensive experience in multibillion-dollar mergers and acquisitions, complex corporate securities transactions, and banking laws and regulatory compliance.

Patricia advises financial institutions on M&A and securities transactions; 1933 Securities Act and 1934 Exchange Act reporting and compliance; and general corporate matters. She has represented buyers and sellers in major bank acquisitions, advised on antitrust and strategic business issues, and handled sophisticated “going private” transactions. Patricia’s securities experience includes representing underwriters and issuers in IPOs and follow-on offerings, Regulation S and Rule 144A placements, and common and preferred stock and debt offerings. Patricia also provides advice to financial technology companies and investors in fintechs concerning the Federal Reserve’s control rules.  

Representative Experience

  • Represented First Northern Community Bancorp, Dixon, California, in connection with the strategic acquisition of three branches from Columbia Bank, Tacoma, Washington. 
  • Represented MUFG Union Bank, N.A., in connection with its agreement with PacWest Bancorp subsidiary, Pacific Western Bank, to acquire certain assets and assume certain liabilities of Union Bank’s Homeowners Association (HOA) Services Division for cash consideration of approximately $250 million.
  • Advised Pacific Continental Corp. of Eugene, Oregon, in connection with its acquisition by Columbia Banking System, Inc., of Tacoma, Washington, a transaction valued at approximately $644 million.

    • SJNB Financial Corp.’s $200 million acquisition by Greater Bay Bancorp
    • Large financial institution's $2.2 billion acquisition of Continental Bank Corporation
    • Westamerica Bancorporation’s $330 million acquisition of ValliCorp Holdings Inc.
  • Represented the Pacific Exchange Inc., in its demutualization and acquisition by Archipelago Holdings Inc. (now part of The NYSE Group).
  • Represented a large financial institution in connection with its $330 million “going-private” transaction involving BA Merchant Services Inc.
  • Represented Bear, Stearns & Co. Inc., and other underwriters in an $87 million initial public offering and a $130 million follow-on offering by UTi Worldwide Inc., a foreign private issuer.
