SAN FRANCISCO—Pillsbury today announced the addition of corporate partner Michael Torosian in the firm’s San Francisco office. Torosian’s practice focuses on a variety of general corporate and transactional matters, and he comes to Pillsbury from DLA Piper. His hire follows the May addition of corporate partner Jenny Liu, also in San Francisco.

Torosian counsels clients across the technology, clean energy and life sciences industries and represents emerging companies and investors in financings at all stages of development. He also represents issuers and investment banks in IPOs and follow-on and secondary offerings, as well as in convertible debt offerings.

“San Francisco has been energized recently with startup activity and increasing venture capital investment—the city is a hub of innovation,” said corporate practice leader Bob Robbins. “Mike’s experience with public corporations and his relationships with the startup community combine to make him a strong strategic fit for our practice. We’re very pleased to welcome him.”

Torosian works with companies at all stages of development, from formation and structuring to seed funding, venture financings, reorganizations and recapitalizations. He represents both buyers and sellers in mergers and acquisitions and advises issuers and investment banks in public offerings.

In addition to advising businesses throughout their development, Torosian counsels public company clients across all phases of their life cycle and on day-to-day corporate legal needs, including board matters, corporate governance, reporting obligations, employment issues, compensation and benefits, and SEC, FINRA and exchange matters. His clients also benefit from his experience working with managers and boards of private and public companies as a CPA at a Big Four firm.

“Mike has a diverse track record of success working with both emerging and well-established companies,” said partner Jim Rishwain. “His experience counseling innovators from the ground up and in high-level transactional matters will help us build on our strong corporate offering and our ability to serve these clients’ full spectrum of legal needs.”

Torosian remarked: “Pillsbury is noted for its collaborative environment, and the firm is a leader in many of the areas that are key to the companies I work with, like intellectual property, commercial transactions, executive compensation, tax and regulatory. I’m thrilled to join the firm and look forward to helping expand its emerging company, M&A and capital markets practices.”
