Energy and Infrastructure

  • Advised US renewable diesel developer (Renewable Energy Group Inc., now owned by Chevron) on process vessel and piping procurement contract with Larsen & Toubro (L&T) in Mumbai.
  • Advised prospective investor (predecessor to Chevron New Energies) on Clean Development Mechanism (CDM) certified emission reductions (CER) program in India. Incandescent bulb swap for compact fluorescent (LED these days), sealed cookstoves, etc.
    Company elected not to participate.
  • Advised Chevron on option to purchase 5% interest, and a proposed further option for greater share, in Reliance’s giant refinery complex in Jamnagar (Not completed.)

    • Ongoing representation of the purchaser in its acquisition of a manufacturer of electrolysers for the Hydrogen industry located in India.
    • Representation of leading Indian IOC in its bid to acquire from Equinor of shares in the company established to hold producing assets in the Peregrino Field, Campos Basin, offshore Brazil.
    • Advised Sojitz Corporation on fuel supply agreements for a coal-fired power plant in India, involving the purchase of a right to supply and a parent guarantee.

    • Represented Larsen & Toubro Hydrocarbon Engineering in the Chapter 11 proceedings of EMAS Chiyoda Subsea, its consortium partner in a series of billion dollar projects in Saudi Arabia.
    • Advised Emerson Electric with respect to liability for nuclear damage and nuclear insurance considerations in sales of equipment for use in nuclear power plants in India.
    • Represented Larsen & Toubro with respect to a contractual dispute with Exxon-Mobile with respect to the supply of equipment to an oil refinery in the United States.
    • Advise Curtiss Wright with respect to liability for nuclear damage and nuclear insurance considerations in sales of equipment for use in nuclear power plants in India.
    • Advised Rusatom Overseas with respect to technology transfer agreements and intellectual property protections in India. Advise Electric Power Research Institute with respect to export control requirements and liability for nuclear damage related to entry into the Indian market.
    • Represented Zachry Nuclear Engineering Inc. in seeking a specific authorization to export technology and services to entities in India.
    • Advised Japanese trading house on its bid for construction work on the Hyderabad metro.
    • Advised Sojitz Corporation on the financing and development of an industrial salt production facility in Gujarat.
    • Advised Japanese trading house on its bid for shares in a listed Indian company operating in the steel industry.
    • Advised Japanese trading house on multiple disputes relating to non-payment of trade debts by India-based counterparties.
    • Represented Japanese equipment supplier on a dispute relating to the construction of two LNG storage tanks in India.
    • Advising American company with respect to liability for nuclear damage and nuclear insurance considerations in sales of equipment for use in nuclear power plants in India.
    • Served as counsel to the state governments of Andhra Pradesh, Orissa and Haryana in the restructuring and privatization of portions of the electric power systems, including dividing the vertically integrated state electricity board and establishing new regulator regimes.
    • Advised Suzlon regarding a $500 million turbine tower supply agreement with a U.S. company.
    • Advising one of India's largest heavy vehicle manufacturers in M&A and restructuring matters including in a transaction with an electric vehicle company.
    • Assisting India-based conglomerate in obtaining financing in the U.S. capital markets for the development of numerous townships in India.
    • Represented U.S. Ex-Im Bank in connection with its financing of a 366 MW combined cycle gas-fired power plant in India.

    • Advising Japan-based NTT DATA International in its acquisition of Dell Inc.'s IT services division for $3 billion. This was NTT's largest acquisition and helped NTT Data expand its cloud service and outsourcing business as they retained Dell Systems'-the technology giant's IT services division-28,000 employees who are primarily located in the U.S. and India. This acquisition was also honored as the Global Corporate Deal of the Year in the $1-$10 billion category.
    • Represented Concentrix, a subsidiary of Synnex Corporation, in its $420 million acquisition of India-based outsourcing firm Minacs, enhancing its position as a leader in the Indian business process outsourcing market.
    • Advising social media company on Indian laws & regulations and sponsorship agreements.
    • Advised large Indian conglomerate in M&A transactions such as investment in startup technology companies and a sale of a portfolio company.
    • Advised iEnergizer on the UK aspects of the acquisition of Aptara in a $144 million transaction.
    • Represented Kagome Co., Ltd in its $28 million acquisition of majority membership interest in United Genetics Seeds Co. and subsidiaries located in India, Chile, Italy and the Philippines; United Genetics Seeds Co. specializes in the active breeding and production of vegetable seeds.
    • Advising Dion Global (listed in India) on the acquisitions of Chase Cooper and Investmaster Group in the UK.
    • Represented West Indian Space, Ltd. in a proposed Rule 144A/ Regulation S offering of high-yield debt securities to finance a global high-resolution remote-sensing satellite system.
    • Advised Vistaar Films on the production of Genesis, Heidi and The Eichmann show, a joint production with the BBC.
    • Advised Vistaar Films on a successful appeal against the refusal of UK Film Tax Relief for the film “Mausam”, and on the establishment of post production facilities at Salford Quays adjacent to the BBC.
    • Assisted Supervalu, Inc in developing a multi-year service agreement in connection with the sale of its India-based service centers to Tata Consulting Services (TCS).
    • Represented Citigroup in connection with a $550 million Ex-Im Bank guaranteed loan to Reliance Infocomm Ltd., an Indian telecommunications company. This won the “Deal of the Year” award by Trade Finance magazine.
    • Assisted Honeywell with a large-scale defense procurement project in India.
    • Worked with local counsel to advise U.S. telecommunications provider on customs rules in India’s Special Economic Zones (SEZs) and Software Technology Parks (STPs).
    • Advising Uniphore Software Systems Inc.; an Indian start-up with a U.S. presence on corporate and general real estate matters.
    • Advising major Indian software company Eka on various contentious matters with its contract partners.
    • Represented OPIC on the financing for the expansion of Tikona’s small-cell and 4G LTE fixed wireless broadband networks in India.
  • Global Sourcing

    • Assisted financial services institution in completing a 5-year accounts payable outsourcing deal, with Outsource Partners International (OPI) for the outsourcing of services to India.
    • Negotiated $150 million, 5-year IT services agreement on behalf of an electric utility with Computer Sciences Corporation (CSC). CSC will perform the work at various locations in the U.S., as well as CSC's World Sourcing delivery centers in Malaysia and India.
    • Advised leading pharmacy benefit manager in connection with a finance and accounting outsourcing with IBM. The new arrangement will allow the client and its subsidiaries to receive certain finance and accounting and revenue cycle management services from IBM's offshore facilities in India.
    • Represented retail company in a full scope IT outsourcing, including data center, network (voice and data), end user computing, store support, web hosting, and applications development and maintenance services. Pillsbury addressed challenges in Indian supplier delivering services that require substantial onshore presence.
    • Represented international bank that supports economic and social development in Latin America and the Caribbean in the outsourcing of its IT and applications development and maintenance functions. Tata America International Corporation, based in New York, and Tata Consultancy Services Limited, based in India, will manage the bank's IT infrastructure in the United States and provide applications development and maintenance services from the bank's facilities.
    • Assisted national grocery retailer and distributor in developing a multi-year service agreement in connection with the sale of its India-based service centers to Tata Consulting Services (TCS).
    • Advised UK insurer on a twelve-year £580 million strategic outsourcing contract with The Capita Group Plc Involving substantial outsourced work to India.
    • Represented health insurance company in a business process outsourcing agreement with Cognizant Technology Solutions to permit the client to receive claims adjudication and claims adjustment services from Cognizant's offshore facilities in India. The transaction was expected to result in approximately $35 million of savings over the next five years, as well as improved claims-related operations.
  • Aviation, Transportation and Logistics

    • Represented Citibank, N.A. in the $366 million U.S. Ex-Im Bank-supported financing of the purchase of three Boeing 777-300ER aircraft and one spare engine for Air India Limited.
    • Represented Citibank in a financing for three B777 aircraft for Air India.
    • Represented U.S. contractor in an arbitration in India arising out of a contract for the supply of an air traffic control system at an international airport in India.
    • Advising Aviation Capital Group, GoAir in connection with acquisition of four aircraft.
    • Advised Lancer Container Lines, a leading integrated shipping and logistics solution providers in India (listed on the BSE mainboard), in relation to an issue of Foreign Currency Convertible Bonds and ancillary advice.
    • Acting for Flyington Freighters, an Indian cargo airline, in breach of contract claims against Boeing.
    • Leading the relationship with Ola, India’s Uber rival and designer and manufacturer of electric mobility vehicles, initially advising on its entire UK entry strategy, then on numerous employment matters, and commercial and advisory work.
  • Financial Services

    • Counsel to India Infrastructure Company (UK), an off-shore wholly owned subsidiary of IIFCL established by the Government of India, advising on undertaking and indemnity agreements.
    • Advised EDC on a $100 million loan to a non-bank financial institution in India.
    • Advising Deutsche Bank Trust Company, Americas as corporate trustee, registrar and agent of the US $500 million notes issued by the Bank of India and listed on the Singapore Stock Exchange.
    • Represented the promoters of Religare on multiple transactions.
    • Assisted Religare in the acquisition of office space near the Thames River, one of the largest real estate transactions in London in 2009.
    • Served as U.S. counsel to Jindal Cotex, a global depositary receipts offering on the Luxembourg Stock Exchange.
    • Advised for Deutsche Bank Trust Company Americas as corporate trustee, registrar and agent of the $500 million notes issued by the Bank of India and listed on the Singapore Stock Exchange.
    • Acted for Prospect Capital as placing agent on the offerings of GDRs and FCCBs of a number of companies including Aqua Logistics, Syncom Healthcare and Chromatic India.
    • Acted for Stream Advisors as placing agent on the offering of GDRs of NEO Corp International listed on the Luxembourg Stock Exchange.
    • Acted as local counsel on behalf of the Bank of India in litigation in California courts.
  • Pharma and Life Sciences

    • Acting in $250 million ICC arbitration between Indian and Canadian life sciences companies concerning the failure to obtain US FDA regulatory approval for an injectable version of a cancer drug.
    • Continue to represent Sentynl Therapeutics, Inc., a California biopharmaceutical company, following its acquisition by India-based Zydus Cadila, a multinational pharmaceutical company headquartered in Ahmedabad.
    • Advising Torrent Pharmaceuticals Ltd on patent infringements, IP evaluations of specific drugs, evaluating generic drugs for Abbreviated New Drug Application (ANDA) litigation opportunities & providing preliminary portfolio analysis and advice.
    • Advising Micro Labs Limited on patents, evaluating generic drugs for ANDA litigation opportunities.
    • Advising several clients on ANDA cases regarding U.S. generic drug approvals for existing licensed medications or approved drugs.
    • Advising Dr Reddy's Laboratories (one of India's largest generics pharma companies) on UK regulatory issues.
    • Acted for Arkios as placing agent on the offerings of GDRs and FCCBs of a number of companies including Dr. Datsons Labs, Zylog Systems, Aanjanlya Lifecare, Raj Oil Mills, and SEL Manufacturing Company.
    • Successfully defending and counterclaiming for India’s largest life sciences company in a substantial ICC arbitration against its Belgian CMO concerning the extraction of opiates from poppy straw.
    • Acting for one of India’s leading life sciences companies in numerous English court and English law disputes.
  • Manufacturing

    • Advising large number of Indian corporates and placing agents on the issue of equity and debt instruments quoted on Luxembourg and Singapore Stock Exchanges, with issue sizes between $10 million and 175 million in sectors such as textiles, pharma, dyes, garments, edible oils and enterprise solutions.
    • Advised Tata Motors on regulatory issues and sales transactions in various emerging markets.
    • Advised Mahindra on the acquisition of Faraday.
    • Advised Tech Mahindra on equity and debt financings.
    • Assisting Chinese company as it set up a manufacturing presence in India including on contract review.
    • Advising on commercial contracts between Indian entities and overseas counterparties with reference to Double Taxation Avoidance Agreements.
    • Advised one of India's largest heavy equipment manufacturers respect to Office of Foreign Asset Control (OFAC) sanctions against Iran and related export control restrictions.
    • Representation of Gillette in the proposed acquisition of a leading Indian manufacturer of razor blades.
    • Representing some of India's prominent Indian generic companies in high-stakes intellectual property matters before the USPTO and district courts.
    • Acting for one of India’s biggest steel manufacturers in challenging the enforcement of a substantial award against it in England, Singapore, Germany and Switzerland.
