David S. Baxter, Pillsbury's Global Financial Industry leader, has advised on hundreds of securities issuances and other debt financings totaling several hundred billions of dollars.

Dave represents underwriters, investors, placement agents and issuers on public and private issuances of all types of equity, debt and hybrid securities, including structured finance, securitizations, high-yield debt and at-the-market offerings, as well as other debt financings. Dave works with a variety of industries, including utilities (energy), pharmaceuticals (with a particular focus on royalty interest monetizations), aircraft, life insurance, retail, industrial and technology clients. Dave routinely advises on all varieties of debt transactions, including registered deals, private placements (including Rule 144A and Regulation S transactions) and loan transactions.

Representative Experience

  • Advising investment banks and investors in the structuring and execution of dozens of securitizations, structured debt financings and high-yield debt financings.
  • Acting as designated underwriters’ counsel for several utility companies (for more than two decades).
  • Advising underwriters in connection with various Rule 144A funding agreement-backed medium-term note programs of life insurance companies.
