Christopher Wing focuses his practice primarily on advising companies, investors and underwriters on general corporate and securities law matters, including public and private offerings of debt and equity.

In addition to capital markets and corporate governance, Chris also advises on venture capital, M&A and intellectual property matters. His representation includes work with both emerging and larger companies in a wide range of industries, including artificial intelligence, banking, broadcasting, community development, e-commerce, health sciences, life insurance, public utilities, pharmaceutical, software and telecommunication.

While in law school, Chris advised small businesses and startup companies on corporate and IP matters, and served as senior associate editor of the Hofstra Law Review.

  • Represents underwriters, purchasers and investors on SEC-registered and private offerings by utility companies involving more than $20 billion, including Ameren Corporation (NYSE: AEE), CMS Energy Corporation (NYSE: CMS), Entergy Corporation (NYSE: ETR) and Pinnacle West Capital Corporation (NYSE: PNW).
  • Represented TD SYNNEX Corporation (NYSE: SNX), a leading provider of a comprehensive range of distribution, systems design and integration services for the technology industry, in its $2.5 billion Rule 144A/Regulation S offering of senior notes, issued as part of its financing for its merger with Tech Data Corp., and subsequent registered exchange offer.

  • Represented Concentrix Corporation (Nasdaq: CNXC), a leading provider of customer experience solutions and technology, in its $2.15 billion registered offering of senior notes, issued as part of its financing for its merger with Webhelp SAS.
  • Represented Gorilla Technology Group Inc. (Nasdaq: GRRR), a global solution provider in security intelligence, network intelligence, business intelligence, and IoT technology, in its $100 million at-the-market (ATM) offering and four registered direct offerings of convertible preference shares and ordinary shares for an aggregate of $150 million in gross proceeds, as well as various corporate governance and public company compliance matters.
  • Represented Sinclair, Inc. (Nasdaq: SBGI) and its subsidiaries in a series of liquidity-enhancing debt refinancing transactions totaling approximately $3.3 billion, including its entry into a new credit facility and the issuance of multiple tranches of high-yield bonds, one of which included a Rule 144A offering of $1.43 billion of senior secured notes.
  • Represented the underwriters, led by Cohen & Company, in connection with the upsized $344.7 million IPO of Apex Treasury Corporation (Nasdaq: APXT).
  • Represented Atlantic Coastal Acquisition Corp. (Nasdaq: ACAH) and Atlantic Coastal Acquisition Corp. II (Nasdaq: ACAB), special purpose acquisition companies, in connection with their respective initial public offerings, raising $345 million and $300 million, respectively, in gross proceeds, and ACAB’s $500 million business combination with Abpro Holdings, Inc. (Nasdaq: ABP).
  • Represented 1stdibs Inc. (Nasdaq: DIBS), an e-commerce marketplace, in its $132 million initial public offering.
  • Represented Capital Impact Partners, a leading nonprofit community development financial institution, on its landmark $122 million exempt bond offering.
  • Represented Invitae Corp. (NYSE: NVTA) in its $1.15 billion private placement of convertible senior notes, an investment led by SoftBank Group Corp.
  • Represented Inphi Corp. (NYSE: IPHI) in its $506 million Rule 144A offering of senior convertible notes.
