Danielle de Zorzi plays an integral role in the firm’s Corporate and Securities group and is well-regarded in a wide range of securities offerings, mergers and acquisitions, and other financing transactions.
Danielle has represented clients in the technology, fintech, banking, energy and life insurance industries on a wide range of capital markets transactions, including initial public offerings, private placements, de-SPAC transactions, medium-term note programs and bond issuances. She also has experience advising public companies on ’33 and ’34 Act reporting and compliance, proxy matters, stock exchange compliance and initiatives, and corporate governance issues. Additionally, she has experience advising on complex cross-border mergers and acquisitions for both public and private buyers and sellers.

Danielle previously held an in-house position as group senior corporate counsel with AIA Group (AIA), the largest independent publicly listed pan-Asian life insurance group, where she advised the Treasury, Finance, Investor Relations, Human Resources and ESG teams. Prior to going in-house, Danielle practiced at an international law firm, where she focused on capital markets and mergers and acquisitions.
Representative Experience
- Represented TD SYNNEX Corporation in its $1.31 billion secondary public offering, its $606.3 million secondary public offering and its $600 million senior notes offering.
- Represented Movella Inc. in its $537 million business combination with special purpose acquisition company Pathfinder Acquisition Corp., resulting in Movella becoming a publicly traded company on the Nasdaq Stock Market.
- Represented Everi Holdings Inc. in the combination and simultaneous acquisition of Everi and the gaming businesses of International Game Technology PLC (IGT) by a newly formed holding company owned by funds managed by affiliates of Apollo Global Management Inc. for approximately $6.3 billion on a combined basis.

- Represented Westpac Banking Corporation in its $1 billion of 2.45% covered bonds.
- Represented American International Group (AIG) in various transactions, including:
- AIA’s spin-off from AIG and $20.5 billion IPO and listing on the Hong Kong Stock Exchange, constituting the largest IPO in Hong Kong’s history and the world’s largest IPO in the insurance sector; and
- $2 billion, $6 billion and $6.45 billion sales of ordinary shares of AIA.
- Represented Melco Crown Entertainment Limited in various transactions, including:
- $3 billion aggregate principal amount of 3.75% bonds listed on the Singapore Exchange; and
- $180 million follow-on public offering of American Depositary Shares on the Nasdaq Global Select Market.
- Represented Morgan Stanley, Citigroup and Deutsche Bank as joint book-running managers in Cigna Corporation’s $650 million offering of common stock.
- Represented Morgan Stanley, Bank of America Merrill Lynch, UBS Investment Bank and HSBC as joint book-runners in Cigna Corporation’s offerings, including:
- $600 million of 2.750% senior notes;
- $750 million of 4.000% senior notes; and
- $750 million of 5.375% senior notes.

- Represented EMCORE Corporation in its merger with newly formed aerospace manufacturing holding company Velocity One.
- Represented AXA in the $355 million sale of its mandatory pension business in Hong Kong to the Principal Financial Group.
- Represented Standard Chartered in a 15-year distribution partnership providing Manulife the exclusive right to offer its Mandatory Provident Fund (MPF) product to Standard Chartered’s customers in Hong Kong, and the acquisition by Manulife of Standard Chartered’s existing MPF and Occupational Retirement Schemes Ordinance businesses.
