A team of Pillsbury lawyers, led by Corporate partners Christian Salaman and Drew Simon-Rooke, advised Everi Holdings Inc.—alongside the gaming businesses of International Game Technology PLC (IGT)—on the successful completion of its concurrent acquisition by Apollo Funds, a holding company owned by funds managed by affiliates of Apollo Global Management, Inc.
Prior to the closing, the firm also represented Everi in the $4.3 billion loan and bond offering to finance Apollo’s acquisition. Deutsche Bank served as the lead left arranger and Macquarie Capital, Goldman Sachs, Wells Fargo, Barclays, BNP Paribas, Truist, Santander, Scotiabank, Citi, Jefferies, Key, Standard Chartered, Crédit Agricole, Morgan Stanley and SMBC served as bookrunners. Corporate partner Lexi Calcado and Bank & Leveraged Finance partner Joseph Fastiggi, in addition to Salaman and Simon-Rooke, advised Everi on the financing.
The all-cash transaction, valued at approximately $6.3 billion, unites complementary businesses to create a privately held global leader in gaming, digital and financial technology solutions.
In the coming months, the two companies will be integrated into a single enterprise headquartered in Las Vegas. The combined entity will operate under the IGT name, while the Everi brand will be retained in select markets and product categories. The new organization will be structured into three core business units—Gaming, Digital and FinTech—fostering a customer-centric approach supported by a people-first culture that emphasizes talent, collaboration and innovation.
