Drew, named to Best Lawyers: Ones to Watch list, focuses on mergers and acquisitions, private equity, capital markets, public company reporting and corporate governance matters. He represents public and private companies in buy-side and sell-side M&A; emerging companies, startups and venture funds in connection with financings; and issuers and investment banks with equity and debt offerings.

Drew’s clients are primarily technology companies, but also include companies in the financial, health care, infrastructure and other sectors. He has extensive experience advising private equity funds and their portfolio companies in a wide range of transactions, including mergers and acquisitions and strategic investments. Drew’s private equity representations have included: Ullico Infrastructure Fund, Primavera Capital Group, Silver Lake Partners, Hellman & Friedman, KSL Capital Partners and The Carlyle Group.

Representative Experience

Represented Concentrix in its agreement to combine with Webhelp for approximately $4.8 billion and in its acquisition of PK (as part of the transaction, funds managed by global investment firm Carlyle will sell its majority stake in PK, an investment valued at approximately $1.6 billion).
Represented Inphi Corporation in its acquisition by Marvell Technology Group Ltd. for $10 billion.
Represented Invitae Corporation in its acquisition of ArcherDX for $1.4 billion.
Represented Rockley Photonics, Ltd. in its $1.2 billion merger with special purpose acquisition company SC Health Corp., resulting in Rockley becoming a publicly traded company on the NYSE (also represented Rockley in its $150 million financing as part of its merger with a SPAC, which was led by top-tier institutional investors including Senvest Management LLC and UBS O’Connor, and participation from Medtronic).

Represented Regalix in its acquisition by MarketStar, a deal honored as the 2024 Americas Media & Marketing Deal of the Year by M&A Atlas Americas Awards.

Represented Movella Inc. in its business combination agreement with a HGGC-sponsored SPAC to be publicly listed on the Nasdaq Stock Market.

Represented Ullico Infrastructure Fund in its acquisition of the Arizona business and operations of Triton Utilities, Inc. and in its acquisition of Michigan American Water Company.

Represented BioDiscovery Inc. in its acquisition by Bionano Genomics Inc. for $100 million.

Represented Awake Security Inc. in its acquisition by Arista Networks.

Represented Redpine Signals Inc. in the sale of its Wi-Fi and Bluetooth business, development center in Hyderabad, India, and extensive patent portfolio to Silicon Labs for $308 million.

Represented Active-Semi International Inc. in its acquisition by Qorvo Inc.

Represented KSL Capital Partners in connection with the acquisition of Outrigger Hotels and Resorts.

Represented Interactive Data Corporation, Warburg Pincus LLC and Silver Lake Partners in connection with IDC’s sale to Intercontinental Exchange (ICE) for approximately $5.2 billion, including $3.65 billion in cash and $1.55 billion in ICE common stock.

Represented Silver Lake Partners, as the sole initial purchaser, in connection with its purchase of $1 billion of 2 percent Convertible Senior Notes of Motorola Solutions Inc.

Represented Microsoft Corporation in connection with its offering of $10.75 billion aggregate principal amount of senior notes.

Represented the initial purchasers in connection with InterDigital Inc.’s offering of $316 million aggregate principal amount of 1.50 percent senior convertible notes.

Represented Applied Systems and Hellman & Friedman in connection with an investment by CapitalG, Alphabet’s growth equity investment fund.

Represented the underwriters in connection with a $132.6 million registered underwritten secondary public offering of Lions Gate common shares.
