Drew Simon-Rooke, Pillsbury’s Corporate Group Leader in Los Angeles, is named to Best Lawyers: Ones to Watch list. He focuses on startups, private equity, mergers and acquisitions, capital markets, public company reporting and corporate governance matters. Drew represents emerging companies, startups and venture funds in connection with their day-to-day corporate work and financings; private and public companies in buy-side and sell-side M&A; and issuers and investment banks with equity and debt offerings.

Drew’s clients are primarily technology companies, but also include companies in the financial, health care, infrastructure, gaming and other sectors. He has extensive experience advising private equity funds and their portfolio companies in a wide range of transactions, including mergers and acquisitions and strategic investments. Drew’s private equity representations have included: Ullico Infrastructure Fund, Primavera Capital Group, Silver Lake Partners, Hellman & Friedman, KSL Capital Partners and The Carlyle Group. In addition, he regularly represents public companies, including TD Synnex Corporation, Concentrix Corporation and Quantum Corporation.

Representative Mergers & Acquisitions Experience

  • Represented Concentrix Corporation in its agreement to combine with Webhelp for approximately $4.8 billion and in its acquisition of PK. (As part of the transaction, funds managed by global investment firm Carlyle sold its majority stake in PK, an investment valued at approximately $1.6 billion.)
  • Represented Inphi Corporation in its acquisition by Marvell Technology Group Ltd. for $10 billion.
  • Represented Everi Holdings Inc. in the combination and simultaneous acquisition of Everi and the gaming businesses of International Game Technology PLC (IGT) by a newly formed holding company owned by funds managed by affiliates of Apollo Global Management Inc. for approximately $6.3 billion on a combined basis.

  • Represented Regalix in its acquisition by MarketStar, a deal honored as the 2024 Americas Media & Marketing Deal of the Year by M&A Atlas Americas Awards.
  • Represented Ullico Infrastructure Fund in its acquisition of the Arizona business and operations of Triton Utilities, Inc. and in its acquisition of Michigan American Water Company.

    • Represented Everi Holdings, Inc. in connection with a multibillion-dollar bond offering and acquisition financing related to the combination of Everi and the gaming businesses of IGT, and the acquisition of the combined businesses of Everi and IGT by affiliates of Apollo Global Management Inc.
    • Represented Quantum Corporation in connection with the issuance of warrants and convertible notes and the restructuring of its outstanding term debt held by Dialectic Technology SPV and certain other lenders.
    • Represented Silver Lake Partners, as the sole initial purchaser, in connection with its purchase of $1 billion of 2% senior convertible notes of Motorola Solutions Inc.
    • Represented Microsoft Corporation in connection with its offering of $10.75 billion aggregate principal amount of senior notes.
    • Represented the initial purchasers in connection with InterDigital Inc.’s offering of $316 million aggregate principal amount of 1.50% senior convertible notes.
    • Represented the underwriters in connection with a $132.6 million registered underwritten secondary public offering of Lions Gate common shares.
