Joseph Fastiggi represents lender- and borrower-side clients in a variety of public and private financing transactions, with a focus on leveraged financings for acquisitions and recapitalizations.

Joe has substantial experience on both bank and bond financings, including the representation of financing sources in acquisitions, and has represented lender- and borrower-side clients in both syndicated and direct lending financings, as well as underwriter- and issuer-side clients in the issuance of high-yield debt and equity offerings. He has practiced in a variety of industries, including retail, industrial and manufacturing, software, pharmaceuticals, automotive, telecommunications, fintech, energy and financial services. Recent financing transactions include borrower-side representations for Sinclair Broadcast Group, Wilbur-Ellis, General Atomics, Shenandoah Valley Organic, SYNNEX Corporation, Concentrix Corporation, Clearwater Paper Corporation and Everi Holdings Inc. and lender-side representations for Morgan Stanley, UBS, Citi, PennantPark, and Bracebridge Capital.

Representative Experience

Key member of the cross-office, multidisciplinary Pillsbury team advising Sinclair Broadcast Group and its subsidiaries in connection with Sinclair’s acquisition of a regional sports network business from The Walt Disney Company, involving an aggregate of more than $10 billion of debt financing including various term loan and revolving credit facilities and secured and unsecured bond raises.
