FTC Announces HSR Threshold and Filing Fee Increases for 2026 Transactions
The size-of-transaction threshold under the Hart-Scott-Rodino Act will increase to $133.9 million, and the largest filing fee will increase to $2.678 million.

Evan counsels his clients in all aspects of Hart-Scott-Rodino filings, and in coordinating global merger control filings. He also advises clients on due diligence and integration planning issues. Evan has worked with clients in a broad range of industries, including: private equity, packaging, paper, software, life sciences, food processing, supermarkets and aerospace materials.
Prior to Pillsbury, Evan worked at the FTC in the Premerger Notification Office and specialized in Hart-Scott-Rodino Act reportability analysis.
