Dawn Crowell Murphy advises nonprofit organization clients on a wide variety of legal matters, including governance, tax, regulatory compliance, antitrust, intellectual property, contract and transactions.

With association in-house experience, Dawn brings a comprehensive perspective to counseling trade associations, professional societies and other tax-exempt organizations. Dawn assists with all aspects of nonprofit organizations, including formation, policies and practices, tax exemption and implications, event and vendor agreements, and major transactions such as mergers or joint ventures. She is also experienced in matters of privacy and protection of intellectual property.

Representative Experience

  • Counseled a 501(c)(6) scientific society on complex governance reforms and bylaws revisions, including statutory analysis and compliance, and advising on best practices and organizational implications. 
  • Advised on structure for the U.S. and London-based jointly operated associations of public and management accounting professionals, the American Institute of Certified Public Accountants and the Chartered Institute of Management Accountants, in their “mega joint venture” combination.
  • Successfully petitioned state government authorities for approval in a transaction involving a restructuring of operations and assets from a 501(c)(3) tax-exempt organization to a 501(c)(6) tax-exempt organization.

  • Designed and implemented a comprehensive system for sponsorship contracting for a major national trade association in the health care field, including general terms and terms applicable for specific sponsorship benefits, and processes for considering modifications and risk management.
  • Led a 501(c)(3) charitable organization through options for entering a joint venture or selling, licensing, or transferring a major program with attendant assets to a commercial entity, and ultimately structured and closed a multifaceted two-way licensing arrangement.
  • Counseled leadership of a national membership organization through all stages of a merger, including governance review, due diligence and negotiation of definitive merger documents.
  • Negotiated and handled contracts for all aspects of a global trade show, including convention center license arrangements (contracting with governmental authorities), hotel agreements, and contracts with vendors for housing, construction and technology services, as well as terms for exhibitors and attendees.
  • Represented a membership association in an administrative proceeding before the Federal Trade Commission, including counseling on governance and compliance considerations.
  • Advised the Alliance of Automobile Manufacturers and the Association of Global Automakers on their combination to form the Alliance for Automotive Innovation.
