At the ABA Business Law Section's 2022 spring meeting in Atlanta, the Mergers & Acquisitions Committee presented a panel to discuss case law on topics such as the Material Adverse Effect (MAE), indemnification, and fraud carve-outs among other provisions.
Based on that presentation, Pillsbury Corporate partners Nathaniel Cartmell and Veronica Nunn contributed to an article in the ABA’s Business Law Section publication Business Law Today (co-authored with Lisa Hedrick and Nicholas Mozal) entitled “Case Law Matters: Drafting Lessons that Every M&A Lawyer Should Learn, But Not the Hard Way.”
