San Francisco Corporate & Securities partners Nathaniel Cartmell III and Justin Hovey led a team of Pillsbury lawyers representing AT&T in its acquisition of Otter Media, which is a joint venture between The Chernin Group and AT&T. Terms of the deal were not disclosed.

Otter Media, a subscription-based advertising and content company, will join AT&T’s WarnerMedia unit. Within Otter Media are wholly-owned subsidiaries such as Ellation, an online subscription service provider formerly known as Crunchyroll, and Fullscreen, a full-service digital media company and owner of the Rooster Teeth brand. Otter also has ownership stakes in global content studio Gunpowder & Sky as well as Hello Sunshine, a media company founded by Reese Witherspoon.

AT&T and The Chernin Group founded Otter Media in 2014 to invest in and develop properties that capitalize on the direct-to-consumer subscription and advertising models, along with new digital media brands. In the four years since Otter Media’s founding, the company has established a global audience of more than 93 million unique monthly consumers.

Joining Cartmell and Hovey on the deal were, among many others, Philip Tendler, Julie Divola, Michael Torosian, Mark Jones, George Willman, Josh Tucker, Deborah Carrillo, Cydney Tune, Ada Wall, Caitlin Stulberg, Jessica Dabiri, Jamin Agosti, Clinton Jang, Erica Yader, Robert Tian and Kevin Lin.
