Pillsbury is advising Finland-based Wärtsilä Oyj Abp on its pending acquisition of Greensmith Energy Management Systems Inc. for an undisclosed amount. Once completed, the purchase will enable Wärtsilä to expand its footprint in the energy storage market while also solidifying its position as a leading global energy systems integrator. The deal is expected to close by July 2017 subject to U.S. regulatory approvals.

Greensmith is a recognized leader in energy storage technology and systems integration, responsible for deploying about a third of total US energy storage capacity in 2016. The company’s market-leading energy management software system—called GEMS—enables utilities, Engineering Procurement and Construction companies and Independent Power Producers to manage and monitor individual systems or entire fleet of systems in real time.

The cross-office team advising Wärtsilä is led by Washington, DC Corporate partner Jeffrey Grill. Other Pillsbury lawyers playing critical roles in the transaction include counsel Justin Bintrim and associates Lindsey Livingston, Alyssa Fiedler and Alexandra Calcado (Corporate); counsel Jessica Lutrin and associate Kevin Lin (Executive Compensation & Employee Benefits); partner Josh Tucker and counsel Sarah Gajkowski (Intellectual Property); partner Nancy Fisher and associate Matthew Rabinowitz (International Trade); partner Michael Sibarium and senior counsel Aileen (Chuca) Meyer (Litigation); associate Derek Skinner (Real Estate); and partner Nora Burke (Tax).
