Semiconductor developer ViXS Systems Inc. will be acquired by pixel processing provider Pixelworks Inc. in a $20.2 million all-stock transaction handled by a team of Pillsbury lawyers.

Once the deal meets certain closing conditions and is approved by the Ontario Superior Court of Justice, it will be affected through a court-approved plan under the Canada Business Corporations Act, reports Daily Journal. The deal is expected to close in the third quarter of the year, after ViXS shareholders meet to approve the transaction.

According to a news release, Pixelworks’ purchase of ViXS will diversify the company’s revenue, broaden its product offerings and expand technology development in addition to adding more than 470 international patents currently held by ViXS to Pixelworks’ portfolio.

A team of Pillsbury lawyers led by Silicon Valley Corporate partner Christina Pearson advised Pixelworks in the transaction. Silicon Valley Corporate partner Jorge del Calvo and associate Julie Park provided support.
