Further, we handle structured sale-leaseback transactions for clients seeking to dispose of owned real estate portfolios. Among our longstanding clients are some of the world’s most prominent property developers and investors.

We have negotiated thousands of transactions, successfully guiding clients through complex and novel transactions. This experience has given us exceptional market knowledge and insight, enabling us to provide clients with the highest caliber of representation in deal structuring, due diligence, negotiations and transaction management. Working closely with lawyers in our firm’s corporate, tax, environmental and other practices, and with intermediaries, title insurers and consultants, we provide a coordinated team approach that gets deals done efficiently and cost-effectively.

Representative Experience

Represented a sovereign wealth fund in an over $1 billion mezzanine loan financing of a portfolio of U.S. properties.
Represented JUUL in its $600 million acquisition of 123 Mission Street in the Dogpatch area of San Francisco, California.
Represented Prima Mortgage Investment Trust LLC as a co-lender, advancing more than $100 million of a $200 million acquisition loan used to finance the purchase of DreamWorks Animation’s headquarters and campus in Glendale, CA.

Acted for Hoffman-Struever Waterfront and affiliates; selected to redevelop DC’s Southwest Waterfront (The Wharf). Handled negotiation, documentation and closing of development agreements, ground leases and debt and equity financing.

Acquisitions and Dispositions
- Represented Fifth Street Properties in its approximately $2 billion purchase of 787 Seventh Avenue in New York City (and concurrent acquisition of $1 billion in financing for the property purchase).
- Represented Crescent Real Estate Holdings in $1 billion simultaneous sale of the Houston, Texas, Greenway Plaza office complex and a 40-story office tower at 777 Main in Fort Worth, Texas.
- Handled Irvine Co.’s acquisition of six downtown San Diego Class A office buildings, totaling over 2.7 million square feet of space.
- Represented an investment group from China in a $360 million acquisition of a 5,000-unit, multifamily real estate project located in Texas and Maryland through multi-tranche CMBS debt restructure in the prior owner’s bankruptcy case.
- Represented a joint venture in its $108 million acquisition and financing of the tech campus that houses the Apple Beats headquarters in Culver City, CA. (“Silicon Beach”).
