Ellen Grady advises public, private and nonprofit entities on complex corporate transactions, principally mergers and acquisitions, joint ventures, venture capital and private equity transactions, securities offerings, and corporate governance.
Ms. Grady works with clients across a wide range of industry sectors, with significant experience in the defense and government services industry, health care and health care IT, and software and technology. She has advised companies on complex corporate restructurings, including real estate transactions, and has extensive experience advising public companies, private companies and non-profits on a wide range of corporate governance and compliance issues. Ms. Grady also has experience structuring real estate funds and joint ventures, including compliance with federal securities law issues.

- Represented Creoal Consulting, a provider of digital and IT consulting and advisory services intended to serve federal, public sector and commercial organizations, in its sale to SMX, a portfolio company of OceanSound Partners.
- Represented ENSCO, a leading provider of railway inspection technology, engineering and service, in its acquisition of KLD Labs Inc., a provider of automated wayside inspection technology and laser profiling solutions.
- Represented Agile Defense, which provides IT solutions and services to federal government customer, in its sale to Enlightenment Capital, an aerospace, defense, government and technology investment firm.

- Represented Berkley Capital in connection with its acquisition of the assets of Abercrombie Textiles, a fabric manufacturing company.
- Represented 1901 Group, a provider of managed IT services and cloud solutions to the federal government, in its sale to Leidos.
- Represented Bluestone Investment Partners in connection with the acquisition of Intrepid Solutions and Services, Inc., a government contracting firm providing enterprise IT, data analysis and operational training services to the U.S. intelligence community.
