Stephanie plays an integral role in the firm’s Capital Markets Group and is well-regarded in her representation of issuers, underwriters, placement agents, structuring agents and purchasers in a wide variety of securities offerings and other financing transactions.

Recognized by Chambers USA and Chambers Global, Stephanie provides counsel on public and private issuances of equity, debt and hybrid securities in the energy, pharmaceuticals, banking, technology and life insurance industries, among others. She has significant experience with SEC registered transactions (including initial public offerings, de-SPAC transactions, at-the-market offerings and deals by well-known seasoned issuers), as well as royalty interest monetizations, securitizations, tax-exempt bond offerings, high-yield debt deals and other structured private placements. Stephanie also advises clients on corporate governance, liability management and securities law compliance matters.

Representing underwriters, initial purchasers and other investors on capital markets offerings by companies in various industries, including a decade of experience as designated underwriters’ counsel for multiple utility companies.
Counseling a leading investment bank and sophisticated investors in connection with the structuring, negotiation and execution of structured debt financings, securitizations and high-yield debt financings in the pharmaceutical and life sciences industry.
Representing issuers as they access the capital markets, as well as on public reporting and other securities regulation matters.

Advising on offerings of numerous types of securities, including equity, depositary shares, preferred stock, convertible and floating rate securities, first mortgage bonds and secured and unsecured senior notes.

Representing initial purchasers on Rule 144A offerings of by companies in the life insurance and retail industries.
