Todd Rumberger, recognized by Chambers USA for Startups & Emerging Companies Nationwide and for Venture Capital in California, represents emerging growth companies throughout their life cycle.

Todd counsels founders on the initial organization and capitalization of their startup, and guides them through fundraising negotiations and terms with pre-seed, seed, and larger institutional and strategic investors. He advises on securities offerings and mergers and acquisitions, and supports later-stage venture-backed companies with equity and debt financings, responsibilities of management and board corporate governance, employment and related incentive compensation matters, and strategic commercial transactions. Todd also advises numerous early and late-stage venture capital firms, as well as strategic corporate investors on their investment in and management of their portfolio companies. He also has significant experience in assisting foreign startups and growth-stage companies to establish a presence and obtain venture funding in the United States.

Prior to joining Pillsbury, Todd was a partner at the Palo Alto office of an international law firm. He has also served as managing partner, co-chair of the technology industry team and vice chair of the corporate group of an international law firm.

  • Represented medical device company Cue Health Inc. in its $235 million private venture financing round, $481 million U.S. DOD/BARDA grant and $200 million initial public offering.
  • Represented battery swapping company Ample Inc. through numerous rounds of preferred financings led by both strategic and venture capital investors, including Shell Ventures, Moore Strategic Partners, Blackstone and Mitsubishi Corporation, raising hundreds of millions of dollars.
  • Represented 3D property data platform Hover Inc. in numerous rounds of preferred financings from both strategic and venture capital investors, including Google Ventures, Menlo Ventures, Nationwide, State Farm Ventures and The Home Depot.
