Pillsbury has once again been recognized for its successful representation of Biolase, Inc., a global leader in the manufacturing and marketing of dental laser systems, in a complex cross-border distressed transaction.

The M&A Advisor honored Pillsbury with the Section 363 Sale of the Year ($10 million to $25 million) Award at the 20thAnnual Turnaround Awards. The awards recognize top distressed, restructuring and refinancing transactions, as well as the firms and professionals shaping the industry across the United States and international markets.

The award recognized Pillsbury’s role in representing Biolase in its $20.05 million acquisition by MegaGen Implant Co., Ltd. Following Biolase’s voluntary chapter 11 filing in October 2024, Pillsbury guided the company through a competitive sale process conducted under Section 363 of the U.S. Bankruptcy Code. The process resulted in a winning bid that exceeded a prior competing offer by several million dollars, maximizing value for stakeholders and enabling the confirmation of a comprehensive plan of liquidation in February 2025.

This marks the third award Pillsbury has received for its work on Biolase. The firm previously earned the Cross-Border Distressed M&A Deal of the Year (Small Markets) at the 17th Annual Turnaround Atlas Awards and Corporate/Strategic Deal of the Year ($10 million – $25 million) at The M&A Advisor’s 16th Annual International M&A Awards.

The Pillsbury deal team was led by Insolvency & Restructuring partners Joshua Morse and Dania Slim and included Corporate partner Allison Leopold Tilley and associate Jon Schreiber; Intellectual Property partners Mark Litvack, Ranjini Acharya and David Jakopin; and Employment Law senior counsel Laura Latham.
