Kit Ryan

Kit Ryan focuses his practice on general corporate matters, including capital markets, venture capital financings, mergers and acquisitions, and securities law compliance.

Kit is a certified public accountant, and prior to entering the legal profession, he worked as a tax professional. He was also a founder of two startup companies.

Representative Experience

Represented Shield AI, a fast-growing defense technology company, in its $225 Series E financing and most recently in its $200 million Series F financing, which increased its valuation to $2.7 billion.
Represented Everi, a premier provider of land-based and digital casino gaming content and products, in its $59 million acquisition of certain strategic assets of Video King, in its acquisition of Venuetize and in its $22 million acquisition of certain strategic assets of Intuicode Gaming.
Represented EMCORE Corporation, a leading aerospace, defense, communications and sensing markets provider, in its $55 million asset acquisition of KVH Industries.

VC Financings/Investments
- Represented Petvisor, a veterinary and pet services business management and client engagement software platform, in a recent $100 million funding round.
- Represented a software platform and marketplace for the residential solar ecosystem in its $1 million equity financing.
- Represented Canal Partners during Allbound’s $43 million financing.
- Represented Sequence Arts & Technologies, a technology company building a new way to collaborate on video, in its $5 million Series Seed financing.
- Represented Pacific GeneTech, a developer of next-generation vaccines and biologics for unmet needs in food safety and animal health, in its $10 million equity financing.
- Represented a cloud communications security and compliance platform in its $10 million financing and restructuring.
- Represented a fast-growing technology company serving the veterinary health and pet services industries in its $25 million Series D financing.
- Represented Toofon, a manufacturer of drones and developer of aerial logistics platform, in its $15 million Series A financing.
- Represented a technology company that provides a marketplace that helps procure custom-engineered and off-shelf hardware for advanced manufacturing companies, in its $5 million Series Seed financing.
- Represented a Virginia-based cybersecurity firm in its recent $15 million Series AA financing.

Mergers & Acquisitions
- Represented Sentynl Therapeutics, Inc., in its purchase of CUTX-101 from Cyprium Therapeutics, Inc.
- Represented MSUITE, a cloud-based SaaS company, in its acquisition by Stanley Black & Decker.
- Represented Sentynl Therapeutics, Inc. in its purchase of NULIBRY from BridgeBio Pharma Inc.
- Represented a VoIP software company serving veterinary health and pet services industries in its $10 million merger.
- Represented a technology company that provides event and threat detection solutions for utilities, government, business, and public safety, in its $12 million stock acquisition.
- Represented National University, a private nonprofit institution that caters to working adults, in its merger with Northcentral University.
- Represented a private equity fund in its $160 million acquisition of a large brewery and distillery located in California.

Hospitality
- Represented DMBH Residential Investment LLC in arrangement with Marriott for a new Ritz-Carlton Residences in Palm Beach Gardens, Florida.
- Represented CoralTree, one of the top independent hospital management companies in the United States, in negotiating the hotel management agreement for Pier Sixty-Six located in Fort Lauderdale.
- Represented CoralTree, one of the top independent hospital management companies in the United States, in negotiating the hotel management agreement for Everline Resort & Spa located in North Lake Tahoe.
- Represented CoralTree, one of the top independent hospital management companies in the United States, in negotiating the hotel management agreement for Suncadia Resort located in Cle Elum.
- Represented CoralTree, one of the top independent hospital management companies in the United States, in negotiating the hotel management agreement for Lake Nona Wave Hotel located in Orlando, Florida.
- Represented manager in negotiating a hotel management agreement for a new Luxury Hotel in Gansevoort, Turks and Caicos.

Professional Highlights

Kit sits on the board of directors of Casa Cornelia, a public interest law firm that provides pro bono legal services to victims of human and civil rights violations, and was recently honored with the 2023 Pro Bono Publico award.

During law school, Kit served as president, vice president, and SBA rep in the Tax Law Society and was a member of the Pro Bono Legal Advocate Board. He was also awarded Top Entrepreneur Pick in the Venture Capital Investment Competition and was the semi-finalist in the Law Student Tax Challenge for the American Bar Association.
